These Terms & Conditions (“Terms”) govern your use of haraliapis.com (the “Website”) and the web design and marketing services (the “Services”) provided by Inboxa LLC, doing business as Hara Liapis (“we,” “us,” or “our”). By using the Website, submitting an inquiry, or engaging us for Services, you (“Client,” “you”) agree to these Terms.
01Who we are
Inboxa LLC is a limited liability company organized under the laws of the State of Wyoming, operating the Website and providing Services under the name “Hara Liapis.” References to “we,” “us,” or “our” in these Terms refer to Inboxa LLC.
02Services we provide
We provide website design and development, and related marketing and branding services, on a project or engagement basis (the “Services”). The specific scope, deliverables, timeline, and price for a given project will typically be agreed with each Client individually, whether by email, proposal, invoice, or other written confirmation, before work begins. These Terms apply generally to that engagement in addition to whatever project-specific details are agreed separately.
03Project engagement
Engagements typically begin when you contact us through the Website's inquiry or project form, by email, or via Instagram, and we mutually agree on the scope and terms of a project. Work begins once the scope has been discussed and, where applicable, any required deposit has been received. We reserve the right to decline or discontinue an engagement at our discretion, including where a project falls outside the type of work we take on.
04Fees and payment
Fees for Services are agreed with each Client prior to the start of work, typically through a quote, proposal, or invoice. We do not currently offer subscription or recurring-billing services; project fees are generally structured on a per-project or milestone basis.
- A deposit may be requested before work begins on a project, with the remaining balance due upon completion, delivery, or according to an agreed payment schedule.
- Payment methods, currency, and specific due dates will be communicated directly as part of each project engagement.
- Late or non-payment may result in a pause or delay of work, and delivered materials or access (such as a live website) may be withheld until payment is received in full.
- Unless otherwise agreed in writing, deposits are non-refundable once work has commenced, reflecting time and resources already committed to the project.
05Client responsibilities
To keep a project on track, Clients agree to provide timely feedback, requested content (such as text, images, logos, or account access), and approvals throughout the engagement. Delays in providing this information may affect project timelines. You are responsible for ensuring that any content, materials, or assets you provide to us do not infringe the intellectual property or other rights of a third party.
06Revisions and scope changes
Each project generally includes a reasonable number of revision rounds, as agreed at the outset. Requests that materially expand the original scope of a project (such as additional pages, features, or entirely new design directions) may be treated as a change in scope and may involve an adjusted timeline and additional fees, which we will discuss with you before proceeding.
07Intellectual property
- Client deliverables. Upon receipt of payment in full for a project, ownership of the final agreed-upon deliverables (such as the completed website design) transfers to the Client, except for any third-party assets, stock materials, fonts, plugins, or licensed tools used in the project, which remain subject to their own license terms.
- Our tools and know-how. We retain ownership of our own pre-existing tools, templates, frameworks, and general design/development know-how used to deliver Services, even where incorporated into a Client project.
- Portfolio rights. Unless a Client requests otherwise in writing, we reserve the right to display completed projects, including screenshots or links, in our portfolio and marketing materials.
08Use of the website
The content on the Website, including text, design, and visuals, is owned by or licensed to Inboxa LLC and is provided for your general information and to help you evaluate our Services. You may not copy, reproduce, or repurpose the Website's design or content for commercial use without our prior written permission.
09Disclaimers
The Website and any general information provided on it are offered on an “as is” basis, without warranties of any kind, express or implied. While we take pride in our work, we do not guarantee any specific business outcome, traffic, ranking, or revenue result from Services provided, as these depend on many factors outside our control.
10Limitation of liability
To the fullest extent permitted by law, Inboxa LLC's total liability arising out of or relating to the Services or these Terms shall not exceed the amount paid by the Client for the specific project giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunity, arising from your use of the Website or our Services.
11Indemnification
You agree to indemnify and hold Inboxa LLC harmless from any claims, damages, or expenses arising from content or materials you provide to us, your misuse of Services or deliverables, or your violation of these Terms or applicable law.
12Termination
Either party may end an ongoing engagement by providing written notice. If a project is terminated partway through, the Client is responsible for payment for work completed up to the point of termination, and any deposit paid is non-refundable as described above unless otherwise agreed.
13Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles, unless otherwise required by applicable local law where you reside.
14Changes to these terms
We may update these Terms from time to time to reflect changes in how we operate. We'll update the “Last updated” date above when we do. Continued use of the Website or an ongoing engagement after changes are posted constitutes acceptance of the revised Terms.
